I enlighet med aktiebolagslagen och svensk kod för bolagsstyrning kan noterade bolag välja att inrätt utskott för revision eller låta hela styrelsen utgöra revisionsutskottet. Här går vi igenom en en instruktion för revisionsutskottet med dokumentation på svenska och engelska. Denna instruktion hänger såklart ihop med riktlinjerna för styrelsens arbete.






Arbetsordning för revisionsutskottet

Styrelsen får besluta att revisionsutskottets uppgifter ska fullgöras av

styrelsen i sin helhet eller utse ett revisionsutskott. Revisionsutskottet eller styrelsen, i tillämpliga

fall, ska uppfylla kraven i aktiebolagslagen och, i förekommande fall, kraven i svensk kod för

bolagsstyrning. 

Syfte

Syftet med revisionsutskottet är att höja kvaliteten på revisionen och förbättra

intern kontroll och styrning av bolagets riskexponering, riskhantering och finansiella

rapportering samt förbättra kommunikationen mellan styrelsen och

bolagets revisor. 

Uppgifter

Revisionsutskottet ska utarbeta rekommendationer och förslag till beslut för styrelsen

i frågor som rör bolagets redovisning, finansiella rapportering, interna kontroll,

finansiell riskexponering och riskhantering. Uppgifterna inkluderar:

  • att övervaka bolagets finansiella rapportering och vara ansvarig för att förbereda styrelsens arbete för att säkerställa kvaliteten i den finansiella rapporteringen
  • att övervaka effektiviteten i bolagets interna kontroll, internrevision om det är är aktuellt och riskhantering med avseende på bolagets finanser, redovisning, finansiell ställning, finansiering och likviditet.
  • att övervaka att det finns en väl fungerande internrevision inom bolaget om det är aktuellt eller se till att funktionen fullgörs och utvärdera effektiviteten därav och motivera om en intern revision krävs eller inte;
  • att diskutera bolagets principer för utvärdering av riskhantering med avseende på den finansiella rapporteringen. Vidare ska revisionsutskottet tillsammans med ledningen och revisorerna diskutera väsentliga finansiella risker och alla åtgärder som ledningen har vidtagit eller kommer att vidta för att hantera, övervaka eller kontrollera sådana risker.
  • att hålla sig informerad om granskningen av årsredovisningen och koncernredovisningen och granska bolagets och koncernens redovisningsprinciper samt övervaka att dessa överensstämmer med tillämpliga redovisningsstandarder och allmänt accepterade redovisningsprinciper, att bolaget och koncernen tillämpar principerna på ett godtagbart sätt och övervaka att bolaget och koncernen följer regler och föreskrifter med avseende på redovisning samt finansiell rapportering;
  • att informera styrelsen om revisionen och hur den bidrog till att den finansiella rapporteringen var korrekt och vilken funktion utskottet hade;
  • att utvärdera ändrade redovisningsprinciper och deras konsekvenser på den finansiella rapporteringen;
  • att granska och övervaka revisorns oberoende och i samband därmed ägna särskild uppmärksamhet åt om revisorn tillhandahåller andra tjänster än revisionstjänster till företaget;
  • att anta riktlinjer för de tilläggstjänster som bolaget kan komma att köpa in från bolagets revisor, där sådana ytterligare tjänster som uppgår till högst [SEKXXX]per uppdrag är föremål för förhandsgodkännande av bolagets CFO och de som överstiger SEK XXX]  ska godkännas av styrelsens ordförande i förväg, eller om styrelsen delegerar detta till ordföranden för revisionsutskottet;
  • bistå valberedningen i samband med beredningen av förslag och ge en rekommendation till valberedningen för bolagsstämmans beslut om val av revisor, där, i förekommande fall, ett anbudsförfarande enligt revisor regelverket ska tillämpas och ersättning för revisorns arbete;
  • att träffa bolagets revisor  regelbundet för att informera sig om revisionens mål och omfattning samt diskutera samordningen mellan den externa och, om tillämpligt, den interna revisionen och synpunkter på företagets risker; och
  • att utvärdera revisionsarbetet och informera bolagets valberedning och styrelse om resultatet av utvärderingen.

Möten

Revisionsutskottet eller styrelsen, i tillämpliga fall, ska sammankallas minst fyra gånger per år

eller på annat sätt om så krävs. Mötena ska hållas så att aktuella ärenden kan

förberedas före styrelsens ordinarie möten.

Revisionsutskottet eller styrelsen, i förekommande fall, ska minst en gång per år träffa

representanter för revisorn utan närvaro av företagsledningen.

Revisionsutskottet eller styrelsen, i tillämpliga fall, ska också, närhelst den finner det lämpligt och

för att fullgöra sina skyldigheter, bjuda in bolagets VD och CFO, eller andra

representanter från bolagsledningen, revisorn eller någon annan lämplig

person, att delta i revisionsutskottets möten.

Protokoll

Revisionsutskottet eller styrelsen, i förekommande fall, skall föra protokoll vid varje av dess

möten. I protokollet ska beslut om rekommendationer antecknas. Protokollet ska undertecknas

av protokollförare och godkännas av ordföranden samt en ledamot.

Dokumentation

Ordföranden för revisionsutskottet eller styrelsen, i tillämpliga fall, ska se till att varje ledamot får

ett meddelande via säker kommunikation eller styrelseportal för kallelse till varje möte, senast en

vecka före mötet. Om det av särskilda skäl är motiverat, ska det vara tillräckligt att en ledamot får

ett sådant meddelande vid en senare tidpunkt, dock senast 48 timmar före mötet. En kallelsetid

som är kortare än 48 timmar är, utom i nödfall, är endast tillåten om alla ledamöter godkänner

detta. Meddelandet ska ange tid och plats för mötet och innehålla en föreslagen agenda. Relevant

material som hänför sig till separata punkter på agendan ska distribueras senast fyra till sju dagar

före mötet via säker kommunikation eller en styrelseportal.

Rekommendationer och rapporter till styrelsen 

Utskottet ska regelbundet rapportera resultatet av sitt arbete till styrelsen och lägga fram sina

rekommendationer till  beslut, muntligt och genom distribution av protokollen från dess möten.

 


Rules of Procedure for Audit Committee

 

The board of directors may resolve that the tasks of the audit committee shall be fulfilled by the

board of directors in its entirety or appoint an audit committee.  The audit committee or the board

of directors, as applicable, shall fulfil the requirements set forth in the Swedish Companies Act

and, as applicable, the requirements set forth in the Swedish Corporate Governance Code. 

 

Purpose

The purpose and aim of the audit committee is to increase the quality of the audit and improve

the supervision and control of the Company’s risk exposure, risk management and financial

reporting as well as improve the communication between the board of directors and the

Company’s auditor. 

 

Tasks

The Audit Committee shall prepare recommendations and  proposals for resolutions by the board

regarding matters related to the Company’s accounting, financial reporting, internal control,

financial risk exposure and risk management. No resolutions are made by the Audit Committee. The tasks includes:

  • monitor the Company’s financial reporting and be responsible for preparing the board of directors’ work to secure the quality of the financial reporting
  • monitor the efficiency of the Company’s internal control, internal audits, and risk management with respect to the Company’s financials,  accounting, financial position, financing and liquidity.
  • monitor that there is a well-functioning internal audit within the Company and the group or ensure that the function is fulfilled and evaluate the efficiency thereof and motivate whether an internal audit is required or not;
  • discuss the Company’s and the Company’’s principles for evaluating risk management with respect to the financial reporting. Furthermore, the audit committee shall, together with the management and auditors, discuss substantial financial risks and any actions that the management have undertaken or will undertake in order to mitigate, monitor or control such risks.
  • keep itself informed regarding the audit of the annual report and the group accounts and review the Company’s and the group’s accounting principles as well as monitor that these comply with applicable accounting standards and generally accepted accounting principles, including IFRS and that the Company and the group applies the principles in an acceptable manner and monitor that the Company and the group comply with rules and regulations with respect to accounting and financial reporting;
  • inform the board of directors about the audit and how it contributed to the correctness of the financial reporting and what function the committee had;
  • evaluate changed accounting principles and their consequences for the financial reporting;
  • review and monitor the independence of the auditor and, in conjunction therewith, pay special attention to whether the auditor provides the Company with services other than auditing services;
  • adopt guidelines for the additional services that the Company may procure from the Company’s auditor, whereby such additional services that amount to no more than SEK [XXX] per assignment are subject to the prior approval of the Company’s CFO and those that exceed SEK XXX] are subject to the prior approval of the Chairperson of the board,or if so delegated by the board, by the Chairperson of the audit committee;
  • assist the nomination committee in conjunction with the preparation of proposals and provide a recommendation to the nomination committee for the general meeting’s resolutions regarding election of auditor, where, if applicable, a tender process in accordance with the auditor regulation shall be applied, and remuneration for the auditor’s work;
  • regularly meet with the Company’s auditor to inform themselves about the audit’s objective and scope as well as discuss the coordination between the external and the internal audit and views on the Company’s risks; and
  • evaluate the audit work and inform the Company’s nomination committee and board of directors or, where appropriate, special nomination committee, of the result of the evaluation.

 

Meetings

The audit committee or the board, as applicable, shall convene at least four times per year or

otherwise if required. The meetings shall be held in such time that current matters may be

prepared prior to the board of director’s ordinary meetings.

 

The audit committee or the board, as applicable, may at least once a year meet representatives

for the auditor without the presence of the management of the Company.

 

The audit committee or the board, as applicable, shall also, whenever it finds it appropriate and in

order to fulfill its obligations, invite the Company’s CEO, the Company’s CFO, any other

representative from the management of the Company, the auditor or any other appropriate

person, to attend the meetings of the audit committee.

Minutes

The audit committee or the board, as applicable, shall keep minutes at each of its meetings. In the minutes, resolutions shall be recorded. The minutes shall be signed by the keeper of the minutes and certified by the Chairperson, if he or she was not the keeper of the minutes, and by one other member appointed by the committee/board member.

 

Documentation

The Chairperson of the audit committee or the board of directors, as applicable, shall ensure that each member receives a notice, through secure email orboard administration web portal, convening each meeting, no later than one week before the meeting. If warranted by special reasons, it shall be sufficient that a member receives such notice at a later time, however not later than 48 hours prior to the meeting. A notice period shorter than 48 hours is, except in case of emergency, permissible only if all members consent thereto. The notice shall indicate the time and venue for the meeting and contain a proposed agenda. Relevant material relating to separate items on the agenda shall be distributed no later than four to seven days prior to the meeting through a board administration web portal.

Recommendations and reports to the Board 

The committee shall regularly report the results of its work to the board of directors and put forward its recommendations for resolutions, orally and through distribution of the protocols from its meetings.
